Terms & Conditions

These Terms and Conditions govern the relationship between Innovative Tech Thread and the Customers for the purchase, and of textile goods and services. By placing an order with Innovative Tech Thread the Customer agrees to be bound by these terms.

1. Orders, Payments & Prices

1.1 Orders

• All orders must be placed in writing via email, online platform, or other means specified by Innovative Tech Thread.
• Orders will be considered confirmed only when the Customer provides written acknowledgment or a formal Purchase Order.
• Innovative Tech Thread reserves the right to refuse or cancel any order for any reason, including but not limited to pricing discrepancies, or a failure to meet payment terms.

1.2 Prices

• Prices are quoted in the local currency and may be subject to change based on market conditions, fluctuations in raw material costs, or other factors.
• Prices exclude taxes, shipping fees, handling charges and any additional costs unless otherwise agreed upon.
• Custom orders, alterations, and additional services may incur extra charges, which will be outlined in the proposal.

1.3 Payment Terms

• Unless otherwise agreed, payments are due 30 days from the date of invoice. Payment methods accepted include bank transfer, credit card, PayPal, etc.
• For custom or large orders, Innovative Tech Thread may request a deposit prior to production or shipment, with the remaining balance due before or upon delivery.
• Innovative Tech Thread may offer credit terms to approved customers, subject to a credit and payment history check.

1.4 Late Payments

• Late payments will be subject to interest charges of % per month, or the maximum rate permitted by law.
• If payment is not received within 30 days of the due date, the Innovative may suspend future deliveries and/or cancel outstanding orders.

2. Delivery Terms

2.1 Delivery Schedule

• Innovative Tech Tread will provide an estimated delivery date at the time of order confirmation. Delivery dates are estimates and are not guaranteed. We will make reasonable efforts to meet the agreed delivery date.
• Innovative Tech Thread is not responsible for delays caused by factors beyond its control, such as transportation disruptions, strikes, or weather-related issues.

2.2 Shipping & Handling

• Shipping charges will be quoted separately and added to the invoice unless otherwise agreed. The Customer is responsible for all shipping and handling costs.
• Delivery is considered completed when the goods are handed over to the carrier or upon arrival at the Customer’s designated address, whichever occurs first.

2.3 Risk of Loss

• Risk of loss or damage to the goods passes to the Customer upon delivery or when the goods are handed over to the shipping carrier.
• The Customer must inspect the goods immediately upon receipt and notify the Innovative Tech Thread within 24 hours of any visible damage, defects, or discrepancies.

2.4 Delivery Delays

• If the Customer is unable to accept delivery within a reasonable time, Innovative Tech Thread may store the goods at the Customer’s expense. The Customer will be responsible for any additional delivery costs incurred due to the delay.

3. Payments and Prices

3.1 Price Adjustments

• Innovative Tech Thread reserves the right to adjust the prices of textile goods due to factors such as raw material cost increases, changes in labor costs, or other circumstances. Any price adjustments will be communicated in advance, and the new price will apply to orders placed after the adjustment.

3.2 Currency

• Unless otherwise specified, all payments must be made in the currency of the country in which Innovative Tech Thread operates. For international customers, currency conversion charges may apply.

3.3 Custom Orders

• For custom Textile, Uniforms, Work wears Linens, goods, the Customer will be provided with a price quotation based on their specific requirements. Innovative Tech Thread will require written approval before proceeding with production, and payment terms for custom orders may differ from standard orders.

3.4 Invoice Discrepancies

• If there is a discrepancy on the invoice, the Customer must notify Innovative Tech Thread within 24 hours from the date of receipt. Innovative Tech Thread will investigate the issue and issue a corrected invoice if deem necessary.

4. Changes to Terms & Conditions

4.1 Amendment of Terms

• Innovative Tech Thread reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective immediately upon posting on the website or sending written notice to the Customer.
• The Customer will be notified of any material changes, and continued use of the products or services after such notification will constitute acceptance of the updated terms.

4.2 Notice of Changes

• If Innovative Tech Thread makes significant changes to the Terms and Conditions such as price increases or changes to delivery terms, Innovative Tech Thread will provide reasonable notice to the Customer before these changes take effect.
• Any existing contracts or orders in progress may be subject to the previous Terms and Conditions unless otherwise agreed in writing.

5. Disclaimer of Warranties; Limitation of Liability

5.1 Disclaimer of Warranties

• Innovative Tech Thread warrants that the Textile, Uniforms, Work wears Linens, goods sold are free from manufacturing defects at the time of delivery. However, Innovative Tech Thread makes no other warranties, either expresses or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
• Innovative Tech Thread is not responsible for the goods’ performance, appearance, or longevity once they are in the Customer’s possession, unless explicitly stated.

5.2 Limitations of Liability

• Innovative Tech Thread liability for any claim, loss, or damage related to the goods or services provided is limited to the total amount paid by the Customer for the specific goods or services in question.
• Innovative Tech Thread is not responsible for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business interruption, or reputational damage, arising from the use of the goods.

5.3 Exclusions of Liability

• Innovative Tech Thread is not liable for any damage or loss caused by misuse, improper care, or failure to follow the care instructions.
• Innovative Tech Thread is also not responsible for any damage caused by the Customer’s use of the Textile, Uniforms, Work wears Linens, goods for purposes other than their intended use.

5.4 Indemnity

• The Customer agrees to indemnify and hold harmless Innovative Tech Thread from any claims, damages, or losses arising from the Customers use of the Textile, Uniforms, Work wears, Linens, goods or services, including third-party claims for injury or property damage caused by the goods.

General Considerations

These Terms and Conditions set forth the agreement between the Innovative Tech Thread and its valued Customer for the Purchase and provision of Textile, Uniforms, Work wears, Linens, goods and services. Customer is encouraged to review these terms carefully. Innovative Tech Thread reserves the right to update or modify these terms as necessary, and such modifications will apply to future transactions.
